By scrolling through these terms and conditions ("Terms") and clicking the acceptance box at the bottom, you ("Client") agree to engage Saintly Design c/o Nicole Hoffman ("Saintly") to provide the services and deliverables as described herein, under the terms set forth below.
These Terms constitute a binding agreement between Client and Saintly, effective as of the date of acceptance.
Scope of Services: Saintly agrees to provide the "Wholly Hour" services and, in a professional manner consistent with industry standards . Such services include one hour of consultation which may include a professional opinion on Client's business, brand, and/or website, and/or general advice, recommendations or strategy.
Client Obligations: Client acknowledges that Saintly's ability to deliver the services effectively depends on Client's full and timely cooperation on the date of service chosen, as well as the accuracy of information provided to Saintly.
Payment Terms: Client agrees to make any payments for the Wholly Hour in advance and recognizes that such payment is non-refundable. Client may reschedule the Wholly Hour one time upon twenty-four (24) hours-notice to Saintly which is subject to their availability and sole and absolute discretion.
Term and Termination: This agreement is effective upon Client's acceptance and will continue until the completion of the Wholly Hour. Saintly will terminate the services once the time allotted has been completed unless Saintly otherwise agrees to extend the time (which will require the payment of additional amounts to cover such time).
Confidentiality: Saintly agrees to maintain the confidentiality of all information provided by Client in connection with the services, and Client agrees not to disclose the terms of this agreement .
Limitation of Liability and Indemnification: Given the limited scope of engagement, Saintly shall not be liable for indirect, consequential, or incidental damages arising from the services. Client further agrees to indemnify Saintly against any claims related to the services, or violation of third-party rights .
No Relationship Between Parties: Nothing in these Terms shall create an employer/employee relationship, partnership, or joint venture between Client and Saintly.
Governing Law and Dispute Resolution: These Terms shall be governed by the laws of the State of New York. Any disputes shall be resolved through consultation between the parties and if unresolved, by litigation in the New York courts, with the prevailing party entitled to legal fees and costs.
Force Majeure: Saintly shall not be held liable for the failure to perform its obligations if such failure is due to causes beyond its control.
Entire Agreement and Severability: These Terms constitute the entire agreement between the parties. If any provision is found to be invalid, the remainder of the Terms will remain in effect .
Copy of Agreement. Should you require a copy of these terms and conditions, please contact Saintly and a copy will be provided to you.
Acceptance: To the extent Client has any questions or seeks clarification about the terms and conditions, please contact Saintly before accepting. By signing this agreement, Client therefore acknowledges having read, understood, and agreed to these Terms and that Saintly has provided any answers to any questions Client had.
